Definitions

Buyer: The person, company, group, or firm placing an order with the Company.

Company: Vantasmicl Ltd.

Price: The amount specified in the Quotation for the Goods, as set by the Company.

Goods: The product or parts thereof that the Company offers to supply per the terms in the Conditions of Quotation.

Modification: Any deviation, subtraction, or addition, including the fitting of standard and non-standard parts.

Quotation: The offer made by the Company to the Buyer for the Goods at the specified Price.
Formation of Contract

All Goods sold by the Company are subject to the Terms and Conditions in the Conditions of Sale (not listed here), forming a contract governed by the laws of the United Kingdom.
Basis of Quotation

The Quotation is not a contract and is not binding between the Buyer and the Company.

Details in the Quotation are commercial estimates and subject to change without notice, including features, prices, quantities, and delivery time.

Changes made by the Company to the Quotation due to clerical error or omission do not result in liability for the Buyer.

The Company may re-negotiate any contract, cost agreement, or commitment if information provided by the Buyer or Company changes from the original quotation or agreement.

The Quotation is valid for 30 days from the publication date unless otherwise notified in writing by the Company.
Price of Goods

The Price of the Goods is set out in the Company’s Quotation.

The Company may modify the Price before delivery by notifying the Buyer due to factors beyond the Company's control.

Prices in the Quotation do not include Value Added Tax (VAT) unless indicated otherwise, which the Buyer must pay.

The Company has the absolute discretion to refuse to grant credit.
Goods Modifications

The Buyer must request any Modifications in writing to the Company for agreement and compliance with relevant safety and conformity standards.

Requests for Modifications after the Quotation issuance may change the Price and delivery date.

Force Majeure

All details, Prices, and delivery dates in the Quotation are subject to Force Majeure. The Company is not liable for loss, delay, or damage caused by reasons beyond its control, including but not limited to Acts of God, accidents, natural or environmental causes (e.g., floods, fires), power failures, or industrial action.
Governing Law

The Terms of Trading and conditions in the Quotation are governed by and construed in accordance with the laws of England. All parties subject to the Quotation submit to the exclusive jurisdiction of the courts of the United Kingdom.
